Terms of Use

Opmatrix Inc., heretofore known as the COMPANY, retains exclusive title to the Just Worktime Software and Website, and all modifications, implementations, derivative works, upgrades, productizations, and subsequent releases, both during the term and after termination of this Agreement.

License Grant

COMPANY grants to SUBSCRIBER a non-exclusive, non-transferable, royalty-free license to use the Software and Website for personal and internal business purposes, subject to the terms and conditions of this Agreement.

Restrictions

SUBSCRIBER shall not, in whole or in part, at any time during the term or after termination:

  1. Sell, lease, distribute, rebrand, or otherwise transfer the Software to any third party.
  2. Copy or reproduce the Software in any manner.
  3. Allow use of this Software to any party except to SUBSCRIBER's employees, customers, and contractors who require access for the purposes of this Agreement.
  4. Modify, disassemble, decompile, reverse engineer, or attempt to discover the source code or underlying algorithms or technology of the Software.
  5. Use the Software in any service bureau or timeshare capacity.
  6. Allow any person or entity to commit any of the actions described above.

IP Rights

All patent rights, copyrights, and trade secret rights in and to the Software shall remain the exclusive property of COMPANY at all times, except as otherwise provided in this Agreement.
